1. Introduction
These Terms and Conditions ("Terms") govern your use of the Aarvo cloud accounting platform (the "Service") provided by Aarvo Ltd ("Aarvo", "we", "us", or "our"), a company registered in England and Wales.
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Service Description
Aarvo provides a cloud-based accounting software platform that includes:
- Bookkeeping, invoicing, and financial record management
- Bank account integration via open banking (Yapily)
- Transaction categorisation and reconciliation
- Making Tax Digital (MTD) compatibility, including VAT return preparation and submission to HMRC
- Financial reporting and tax calculations
- Asset tracking and depreciation schedules
- Multi-user workspace and team collaboration features
3. Account Registration and Security
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorised access
- Be at least 18 years of age
You are responsible for all activity that occurs under your account.
4. User Obligations
By using the Service, you agree to:
- Provide accurate, complete, and up-to-date financial data and tax information
- Use the Service only for lawful purposes and in accordance with these Terms
- Ensure you are authorised to access and manage the financial data you enter into the Service
- Not attempt to reverse engineer, disassemble, or decompile any part of the Service
- Not use the Service to transmit malware, spam, or harmful content
- Comply with all applicable laws and regulations, including tax legislation and anti-money laundering rules
5. HMRC Integration and Disclaimer
Aarvo enables you to connect to HMRC via their API for Making Tax Digital (MTD) services, including VAT return submission and self-assessment. By using this feature:
- You authorise Aarvo to act as your agent for submitting tax data to HMRC on your behalf
- You acknowledge that you are solely responsible for the accuracy and completeness of all tax data submitted through the Service
- Aarvo submits data to HMRC exactly as instructed by you; we do not independently verify the correctness of your tax returns
- You are responsible for reviewing all submissions before confirming them for filing
- Aarvo is not liable for penalties, interest, or other consequences arising from inaccurate, incomplete, or late tax filings
6. Limitation of Liability
Aarvo is an accounting software tool. The Service does not constitute tax advice, financial advice, or a substitute for a professional accountant or tax adviser.
- We provide tools to help you manage your finances and comply with MTD requirements, but you should seek independent professional advice for complex tax matters
- To the maximum extent permitted by law, Aarvo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability to you for any claim arising from or relating to the Service shall not exceed the amount you paid to Aarvo in the 12 months preceding the claim
- We do not guarantee that the Service will be uninterrupted, error-free, or that defects will be corrected within a specific timeframe
7. Subscription and Payments
- The Service may be offered under various subscription plans, including free and paid tiers
- Paid subscriptions are billed in advance on a recurring basis (monthly or annually) via Stripe
- Prices are subject to change with 30 days' prior notice
- Refunds are provided at our discretion and in accordance with applicable consumer protection laws
- Failure to pay may result in suspension or termination of your account
8. Intellectual Property
- All intellectual property rights in the Service, including software, design, branding, logos, and documentation, are owned by Aarvo Ltd or its licensors
- You retain ownership of your data. By using the Service, you grant Aarvo a limited licence to process your data solely for the purpose of providing the Service
- You may not copy, modify, distribute, or create derivative works based on the Service without our written permission
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the data practices described therein.
10. Termination
- You may terminate your account at any time by contacting us or using the account deletion feature in the Service
- We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or engage in conduct that is harmful to other users or the Service
- Upon termination, your right to use the Service ceases immediately
- We will retain your data in accordance with our Privacy Policy and legal obligations (including HMRC record-keeping requirements of at least 6 years)
- You may request an export of your data prior to account deletion
11. Service Availability
- We aim to provide the Service with high availability but do not guarantee 100% uptime
- We may perform scheduled maintenance with reasonable advance notice
- We are not responsible for disruptions caused by third-party services (including HMRC, Yapily, or Stripe) or circumstances beyond our reasonable control
12. Indemnification
You agree to indemnify and hold harmless Aarvo Ltd, its directors, officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use after such notice constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aarvo Ltd regarding your use of the Service, superseding any prior agreements or communications.
